In Malaysia, a limited liability partnership (LLP) is a separate legal entity, while a joint venture (JV) is a commercial arrangement that can use one. This distinction shapes liability, tax, control and exit before the parties discuss commercial terms.
In this blog, we discuss how each structure works under Malaysia law and what each costs to set up and maintain. We explain how foreign-ownership thresholds shape the choice in 2026. We also cover the clauses every joint venture agreement should contain. We close with a practical checklist for choosing between the two.
What Goes Into the LLP vs Joint Venture Malaysia Decision?
Three questions decide it: do you want a registered entity, how much liability protection do you need, and how will the venture end?
The two routes often look identical on a whiteboard: two parties, shared costs, shared upside. Legally, they are not the same thing. The LLP was created by the Limited Liability Partnerships Act 2012. It registers with the Companies Commission of Malaysia (SSM) and exists as its own person in law. A joint venture is an arrangement agreed by the parties. They can conduct it through a contract, an LLP or a company.
The overlap matters because founders usually ask us which structure is cheaper or faster. The better question is which risk profile fits the project. The comparison below covers liability, cost, tax and exit, so you can shortlist with facts rather than templates.
1. What an LLP actually is
An LLP is a body corporate with perpetual succession. It can hold assets, sue and be sued in its own name. Its partners are not personally liable for the firm's debts, subject to narrow statutory exceptions.
2. What a joint venture actually is
A JV is a commercial arrangement to pursue a defined project together. The parties can conduct it through a contract without creating a separate legal person. Alternatively, they can use an LLP or a joint venture company, typically a private limited company (Sdn Bhd) under the Companies Act 2016.
3. Why the two get confused
Both structures let two companies co-own a project, so proposals and marketing copy often use the terms loosely. The legally decisive question is always whether your venture sits inside a registered entity or inside a contract.
How Do an LLP and a Joint Venture Differ in Liability and Control?
An LLP or JV company offers limited liability through a registered entity; a contractual JV leaves parties exposed under their agreement.
The LLP Act 2012 gives partners a statutory shield. The firm answers for its own debts. A partner is not liable for obligations created by the firm or another partner's wrongful act. A partner remains liable for their own negligence.
A contractual JV offers no such shield. Each party remains exposed under the agreement, and partnership-style duties in Malaysia can leave co-venturers answerable for shared obligations. A JV company or LLP can provide limited liability through a separate entity, subject to statutory exceptions and personal guarantees.
Control follows the same divide. An LLP is governed by its LLP agreement, with no board and no statutory general meetings; authority sits with the partners. A JV company runs on the full Companies Act 2016 machinery: directors, members' resolutions and a shareholders' agreement allocating reserved matters. A contractual JV is the lightest of all, because the contract alone is the governance framework.
LLP vs Joint Venture in Malaysia: Key Differences
| Feature | LLP | Joint venture |
|---|---|---|
| Legal form | Body corporate under the LLP Act 2012 | Commercial relationship; contractual, an LLP or an incorporated company |
| Liability | Partners protected from the firm's debts, with statutory exceptions | Contractual JV exposes parties directly; JV Sdn Bhd shields shareholders |
| Registration | LLP registration with SSM: RM500 | Contractual JV: sector registration may apply. Company: RM1,010 for direct incorporation, including the RM10 information-supply charge. |
| Governing document | LLP agreement | JV contract or shareholders' agreement, with a constitution if adopted |
| Continuity | Perpetual succession | Contractual JV: depends on the agreement. JV LLP or company: continues until legally dissolved. |
| Tax treatment | Taxed as a company | Contractual: treatment depends on arrangement; if treated as partnership, partners assess their share. Company: company rates |
What Does It Cost to Register and Run Each Structure?
Budget RM500 to register an LLP and RM1,010 for direct incorporation of a JV Sdn Bhd, including SSM’s RM10 information-supply charge, with ongoing compliance separating the two.
An LLP registers with SSM in a single application under the LLP Act 2012, with a registration fee of RM500 under SSM's LLP fee schedule. A joint venture company incorporates under the Companies Act 2016 for a flat RM1,000. This is the fee shown for a company limited by shares in SSM's official table of fees. Name reservation, if used, costs RM50 for each thirty-day period, to a maximum of 180 days.
Running costs diverge more than setup costs. An LLP lodges an annual declaration, with an SSM fee of RM200, and keeps its accounts at the registered office. SSM says an LLP generally has no mandatory audit requirement unless its agreement requires one.
A JV company lodges an annual return at RM150 and pays RM50 to lodge audited financial statements, or RM20 if unaudited. It must also appoint a qualified company secretary within thirty days of incorporation and notify SSM within a further fourteen days.
Professional fees sit on top of both columns. Our working-capital guide to Malaysia company incorporation cost scenarios puts a standard local setup between RM4,500 and RM13,000 once licences and support services are included.
When Does a Joint Venture Make More Sense Than an LLP?
A JV wins when local licences, equity limits, investor-grade governance or a fixed exit sit at the centre of the deal.
A joint venture usually wins when the project touches a regulated activity or needs a local partner's assets. In distributive trade, the Ministry of Domestic Trade and Cost of Living requires wholly foreign-owned traders to obtain a Wholesale and Retail Trade (WRT) licence. KPDN’s guidelines generally specify at least RM1,000,000 in shareholders’ funds, including paid-up capital, for several formats; larger formats have higher thresholds.
For ESD registration, the general paid-up-capital threshold is RM350,000 for a joint venture with at least 30% foreign equity and RM500,000 for a wholly foreign-owned company, with RM1 million required for certain activities. The thresholds that currently apply appear in the third table below. The scenarios we see most often fall into four patterns.
1. You need local licences or market access
Foreign principals entering regulated or relationship-driven sectors pair with a local partner holding the licence, land or brand. This is the classic JV rationale for multinational companies in Malaysia, from infrastructure to consumer retail.
2. Investors want familiar governance
A JV company issues shares, board seats and reserved matters under a shareholders' agreement. Groups that answer to boards and investment committees find this easier to approve than a partnership-style structure.
3. The project has a natural sunset
Construction and tender consortia favour a contractual JV: when the project ends, the agreement ends, with no entity left to wind up. Put and call options, tag-along and drag-along rights keep exit predictable.
4. Deals that start contractual and incorporate later
A specialty brand may start a coffee shop business in Malaysia as a contractual JV with a local operator under a licence agreement. Once outlets multiply, the parties may establish a JV Sdn Bhd.
Setup and Annual Compliance Costs Compared
| Item | LLP | JV company (Sdn Bhd) |
|---|---|---|
| Registration or incorporation | RM500 | RM1,010 for direct company incorporation, including the RM10 information-supply charge |
| Name reservation (optional) | Not required | RM50 per 30 days, up to 180 days |
| Annual filing | RM200 annual declaration | RM150 annual return |
| Financial statements | Kept at registered office; no SSM lodgement | Lodged with SSM: RM50 audited, RM20 unaudited |
| Statutory officer | Compliance officer resident in Malaysia | Company secretary within 30 days |
| Audit position | Auditor only if agreed by partners | Audit-exempt if small-company criteria met |
When Is an LLP the Better Vehicle for a Project in Malaysia?
An LLP wins when the parties want a registered entity without boards, share registers or heavy annual compliance.
The LLP fits professional practices, shared-service collaborations and long-running joint projects between corporate partners. Registration runs through SSM's MyLLP system. The LLP must appoint at least one compliance officer who ordinarily resides in Malaysia. The officer must be a partner or a person qualified to act as a company secretary, and a citizen or permanent resident of Malaysia.
If you plan to start an LLP in Malaysia, our LLP guides walk through the registration steps and the agreement essentials. Three advantages come up repeatedly in client projects.
1. Foreign partners cannot use a conventional partnership
Sole proprietorships and partnerships registered under the Registration of Businesses Act 1956 are open only to citizens of Malaysia and permanent residents. Foreign corporate partners can use an LLP, a company or, where permitted, a contractual joint venture, subject to applicable registration and licensing rules.
2. Compliance stays lean
There is one annual declaration at RM200, no general meetings and no board. SSM says an audit is generally not mandatory unless the LLP agreement requires one. For two-parent ventures, that is materially lighter than a Sdn Bhd.
3. The agreement does the governing
Like a JV contract, the LLP agreement sets profit shares, duties and the admission and exit of partners. The registered LLP can hold contracts and assets in its own name.
Paid-Up Capital Thresholds for Foreign Participation in Malaysia
| Ownership structure | Minimum paid-up capital (RM) | Authority or driver |
|---|---|---|
| Basic local company | 1 | SSM statutory minimum |
| JV with 30% or more foreign equity | 350,000 | Expatriate Services Division registration |
| 100% foreign-owned, employment pass | 250,000 to 500,000 | Immigration ESD norms |
| 100% foreign-owned, general services | 500,000 | Employment pass sponsorship norm |
| WRT licence applicant | 1,000,000 | Ministry of Domestic Trade and Cost of Living |
How Are LLPs and Joint Ventures Taxed in Malaysia?
An LLP or JV company pays tax on its own income; a contractual JV's treatment depends on its arrangements.
The Inland Revenue Board (LHDN) taxes an LLP on its own income. Profits distributed to partners are exempt from Malaysia income tax under paragraph 12C of Schedule 6 to the Income Tax Act 1967. Other payments to partners may be treated differently. A contractual JV's tax treatment depends on its terms and activities. If treated as a partnership, each venturer assesses its share of venture income in its own return. A JV company is assessed on its chargeable income.
For YA 2025 and YA 2026, qualifying resident LLPs and resident companies incorporated in Malaysia pay 15% on the first RM150,000 of chargeable income. The next RM450,000 is taxed at 17%, and the balance at 24%. To qualify, an LLP's capital contribution or a company's paid-up ordinary share capital must not exceed RM2.5 million at the start of the basis period. Gross business income must not exceed RM50 million for that period. Ownership and related-company restrictions also apply. For example, more than 20% foreign ownership of the relevant capital disqualifies the entity. LLPs and companies that do not qualify generally pay 24%.
Tax rarely settles the LLP vs joint venture Malaysia question on its own. It still moves the numbers enough to justify modelling both routes before a structure is fixed. We run these projections for clients as part of structure selection.
What Should a Joint Venture Agreement in Malaysia Cover?
The agreement, not the structure, is what keeps a venture alive when interests diverge.
Whether contractual or incorporated, a JV in Malaysia runs on its agreement. The document must be stamped with LHDN under the Stamp Act 1949 to be admissible in evidence, with duty assessed on the instrument. Our e-stamping service lodges the document and computes the duty so signing is never delayed.
Four clusters of clauses do most of the work in the agreements we draft.
1. Ownership and reserved matters
Set the equity split, board composition and the decisions that need unanimous consent, such as new shares, major debt, budget changes and related-party dealings.
2. Deadlock and exit
Agree put and call options, tag-along and drag-along rights, valuation mechanics and termination events before relations are tested. Deadlock clauses are far cheaper than litigation.
3. IP, staff and restraint
Record who owns project intellectual property, customer data and work product, plus non-compete obligations and what happens to staff seconded into the venture.
4. Dispute resolution
Name the governing law and forum. Many joint ventures in Malaysia nominate arbitration at the Asian International Arbitration Centre in Kuala Lumpur for speed and confidentiality.
Which Structure Fits Your Project?
| Your situation | Likely structure |
|---|---|
| Two firms co-delivering professional or technical services | LLP |
| Foreign investor partnering with a local licence holder | JV company |
| One-off tender or construction consortium | Contractual JV |
| Long-term venture with staff, assets and outside investors | JV company, or an LLP for closed groups |
| Corporate partners wanting light compliance and flexible internal terms | LLP |
How Do You Choose Between an LLP and a Joint Venture in Malaysia?
Run four checks in order: project horizon, licensing, tax and exit. The right structure usually announces itself.
Structure selection is a sequencing problem more than a preference poll. Work through the checks below, with your advisors present, before any document is drafted.
1. Fix the project horizon
A defined one-off project points to a contractual JV or an LLP. A business meant to outlive its founders points to an incorporated JV or an LLP with careful succession clauses.
2. Screen licensing and equity rules
Check WRT requirements, sector equity limits and employment-pass capital thresholds early. These can dictate the need for a local partner before any commercial term is agreed.
3. Model tax on both routes
Compare company-rate assessment inside an LLP or JV company against the applicable treatment of a contractual JV, including how profits are eventually extracted.
4. Negotiate the exit before signing
Decide how interests transfer, how deadlock resolves and how the venture dissolves. An LLP partner exit and a share transfer follow very different procedures.
Conclusion
Choosing between an LLP and a joint venture in Malaysia is rarely a universal answer. It depends on licensing, liability appetite, tax and how the venture ends. An LLP gives foreign and local partners a registered entity with lean compliance. A JV company can give a regulated or investor-backed project familiar share-based governance and a planned exit.

Frequently Asked Questions
It depends on the project. A JV company suits licensed or equity-regulated sectors, since a JV with 30% or more foreign equity needs RM350,000 in paid-up capital for Expatriate Services Division registration. An LLP suits foreign corporate partners who only need a registered entity, because conventional partnerships under the Registration of Businesses Act 1956 are closed to foreigners.
SSM's LLP fee schedule sets registration at RM500, with an annual declaration fee of RM200 each year. Expect additional professional fees for drafting the LLP agreement and acting as compliance officer.
A contractual JV does not itself require entity registration. If the parties use an LLP, they register it with SSM. A JV company registers under the Companies Act 2016 for a flat RM1,000, plus RM50 per thirty days if the name is reserved. The agreement may also require stamping with LHDN.
An LLP pays tax on its own income at company rates. For YA 2025 and YA 2026, qualifying resident LLPs pay 15% on the first RM150,000 of chargeable income, 17% on the next RM450,000 and 24% thereafter. Capital, gross business income and ownership conditions apply. Profits distributed to partners are exempt from Malaysia income tax.
Yes. The LLP Act 2012 allows bodies corporate and natural persons to be partners, so two companies can run their venture through an LLP. The LLP then provides a separate legal entity, partner liability protection and leaner compliance than a JV company.
